1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of AskOtis ("Service"), including our website at askotis.ai and the Otis AI email assistant ("Otis"). The Service is provided by Ascent Dev PTY LTD (ABN 12 633 493 562) ("Company", "we", "us", or "our"), a company registered in Victoria, Australia.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

• "AskOtis" refers to the trading name under which the Service is provided.
• "Otis" refers to the AI email assistant that provides email processing services including draft generation, data extraction, and summarisation.
• "Service" refers to the AskOtis platform, website, and all related features.
• "User", "you", "your" refers to any individual or entity using the Service.
• "Content" refers to any text, emails, data, or materials you submit to the Service.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of the Service, you must register using a valid email address. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

5. Service Description

5.1 How Otis Works

Otis is an AI-powered email assistant that processes emails you forward to us. The Service operates as follows:

• You forward an email to one of our service addresses (see below)
• Your identity is verified via email authentication (DKIM/SPF)
• Otis processes your request and generates the appropriate output
• Results are sent back to your email inbox
• You review and use the output at your discretion

5.2 Available Services

Otis provides the following email processing services:

• draft@otis.email — Generate reply drafts in your writing style
• extract@otis.email — Extract structured data from emails (coming soon)
• summarise@otis.email — Summarise email threads (coming soon)

5.3 Service Limitations

• Otis does not send emails on your behalf. All final communications remain your responsibility.
• Otis does not have access to your inbox. We only process emails you explicitly forward.
• AI-generated content may contain errors. You are responsible for reviewing all outputs before use.
• Service availability is subject to maintenance, updates, and factors beyond our control.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Send or process content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Attempt to gain unauthorised access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for spam, phishing, or other deceptive practices
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service except as expressly permitted

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by Ascent Dev PTY LTD and protected by copyright and other intellectual property laws. "AskOtis" is a registered trading name of Ascent Dev PTY LTD. "Otis" refers to our AI email assistant.

7.2 Your Content

You retain ownership of any content you submit to the Service. By using the Service, you grant us a limited, non-exclusive licence to process your content solely for the purpose of providing the Service. This licence terminates when you delete your content or close your account.

7.3 Generated Outputs

All outputs generated by Otis (drafts, extractions, summaries) are provided for your use. You may use, modify, and distribute these outputs as you see fit. We do not claim ownership over the generated content.

8. Payment and Subscription

8.1 Free Trial

New users receive 10 free email processing credits. No credit card is required for the free trial.

8.2 Subscription Plans

After the free trial, continued use requires a paid subscription. Current pricing is $20 AUD per month, which includes 200 email processing credits per month. Pricing is subject to change with reasonable notice.

8.3 Billing

• Subscriptions are billed monthly in advance
• Payments are processed securely through Stripe
• All prices are in Australian Dollars (AUD) unless otherwise stated
• Prices are inclusive of GST for Australian customers

8.4 Cancellation and Refunds

• You may cancel your subscription at any time from your account settings or by contacting support
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months, except as required by Australian Consumer Law

9. Australian Consumer Law

Our services come with guarantees that cannot be excluded under Australian Consumer Law. For major failures with the service, you are entitled to cancel your subscription and receive a refund for any unused portion.

10. Disclaimer of Warranties

To the maximum extent permitted by law (subject to Section 9 above):

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We do not warrant the accuracy, completeness, or reliability of AI-generated content
• You acknowledge that AI-generated drafts may contain errors and require review before use

11. Limitation of Liability

To the maximum extent permitted by law (subject to Section 9 above):

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss or damage arising from your reliance on AI-generated content

12. Indemnification

You agree to indemnify, defend, and hold harmless Ascent Dev PTY LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service

13. Termination

13.1 Termination by You

You may terminate your account at any time by cancelling your subscription and contacting us to delete your account.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, fraudulent activity, or extended periods of inactivity.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new effective date
• Sending an email notification for significant changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@askotis.ai. We will attempt to resolve the dispute within 30 days.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
